NSE Moves Closer to Settlement, Pays ₹714.74 Crore to SEBI

NEW DELHI, July 31: The National Stock Exchange of India Limited (NSE) has taken another major step towards resolving its long-running regulatory matter with the Securities and Exchange Board of India (SEBI), making a payment of ₹714.74 crore towards the demand raised by the market regulator.

In a regulatory filing on Thursday, NSE said the payment had been made following SEBI’s in-principle acceptance of the revised settlement terms proposed by the exchange.
The latest payment comes a day after NSE informed the stock exchanges that SEBI had communicated its in-principle acceptance of the revised terms, signalling further progress in the settlement process.

According to NSE, the ₹714.74-crore payment is in addition to ₹776.47 crore that it had deposited with SEBI earlier. Both amounts will be adjusted against the total settlement amount of ₹1,491.21 crore under the revised settlement terms.
The latest disclosure marks a significant transition in the matter, with the settlement moving beyond regulatory consideration and into the implementation of its financial component.
Major financial component of settlement addressed
NSE’s latest filing provides greater clarity on the financial arrangements underlying the settlement. The exchange said the earlier deposit of ₹776.47 crore, together with the latest payment made against the demand notice dated July 30, 2026, would be adjusted against the settlement amount of ₹1,491.21 crore.
The two payments together amount to ₹1,491.21 crore, effectively covering the entire settlement amount disclosed by the exchange.
The development follows NSE’s July 30 communication to the stock exchanges, in which it informed stakeholders that SEBI had given in-principle acceptance to the revised settlement terms.
With the latest payment now made, NSE has given effect to a key financial component of the revised settlement framework.

The development is also significant for the wider financial markets given NSE’s central role in India’s capital-market infrastructure. As one of the country’s principal market institutions, matters involving the exchange are closely followed by investors, intermediaries and other market participants.
Regulatory process moves towards closure
SEBI’s in-principle acceptance of the revised terms, followed by NSE’s substantial payment, represents an important milestone in the process of bringing the regulatory matter towards closure.

The latest disclosure also reflects NSE’s continued reporting of material developments to the market. The exchange formally disclosed the payment under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
NSE said other details required under Regulation 30, read with SEBI’s Master Circular dated January 30, 2026, had already been disclosed in its earlier communication dated July 30.
The exchange’s latest filing therefore primarily records the payment made following the regulator’s in-principle acceptance of the revised settlement terms.
Settlement amount now fully accounted for

The financial mechanics of the arrangement are central to the latest development.
NSE had previously deposited ₹776.47 crore with SEBI. It has now paid another ₹714.74 crore against the demand notice issued on July 30.

Together, the two amounts total ₹1,491.21 crore, the settlement amount under the revised terms accepted in principle by SEBI.

The latest payment consequently provides a clear picture of the financial component of the settlement and represents a tangible step towards implementing the revised arrangement.
For investors and other stakeholders, the disclosure brings greater clarity to the status of the financial obligations associated with the matter.
Focus shifts to completion of remaining formalities

With the financial component addressed through the earlier deposit and the latest payment, attention will now shift towards the remaining procedural and regulatory steps required for completion of the settlement process.

NSE did not provide any additional details in its latest filing beyond those already disclosed on July 30, stating that the information required under the applicable disclosure framework had already been placed in the public domain.
The filing was signed by Prajakta Powle, Company Secretary and Compliance Officer of NSE.

The latest development puts the settlement process on a substantially advanced footing, with the full ₹1,491.21-crore settlement amount now represented by the earlier deposit and the latest payment.
